Quote:Contract of the Geographical Standards OrganisationWHEREAS the parties to this Contract, known generally as “micronations†or "e-nations" and represented by the persons signing their agreement hereto,IDENTIFYING individually and collectively as organisations operating role-playing fantasy recreational services,RECOGNISING the necessity of common unifying themes and protocols to their interactions both bilaterally and multilaterally, and the advantages of common unifying themes and protocols for the advancement and growth of their individual organisations in a wider community of similar organisations,SEEKING to incorporate a simulated geophysical environment into their fantasies,AGREEING that the achievement of the above is best served by the establishment of the Organisation defined by this Contract,HEREBY establish the Geographical Standards Organisation constituted as follows:The Organisation1. The Organisation is named "Geographical Standards Organisation", hereinafter referred to as "the Organisation", and is -(i) an equal partnership of its members;(ii) a body corporate assertive of its legal capacity to act in its corporate name;(iii) a not-for-profit organisation the assets of which shall be devoted solely towards its ongoing operations;(iv) incapable of entering into any alliance, treaty or compact otherwise than in accordance with its own Rules and Protocols;(v) not a fantasy role-playing simulation nor a micronational supragovernment.Board of Directors2. The Organisation is managed by a Board of Directors, which shall consist of -(i) three Directors elected by the members in accordance with procedures below, one of whom shall be the President of the Organisation; and(ii) a number of Directors appointed ex officio in accordance with the Rules and Protocols of the Organisation.Election of Directors3. The Rules of the Organisation shall provide for the election of Directors provided that -(i) each Director shall serve a term expiring on 30 April, and the election for new Directors shall take place within 15 days prior;(ii) if a Directorship falls vacant mid-term, an election to replace that Director shall take place within 15 days of the vacancy occurring;(iii) each member of the Organisation shall have equal voting rights in any election;(iv) a person is eligible for election as a Director if he is an active participant in a micronation or e-nation which is a member of the Organisation; and(v) a Director may serve any number of terms.Powers of the Board of Directors4. The Board of Directors is empowered to -(i) manage the business and operations of the Organisation;(ii) make Rules and Protocols related to the business and operations of the Organisation; and(iii) appoint any person to any position defined by the Rules and Protocols.Rules and Protocols5. The Rules and Protocols of the Organisation -(i) are made by the Board of Directors at its discretion;(ii) must be consistent with the provisions of this Contract including the preamble thereto;(iii) consist of all formulated rules and directives plus ad hoc rulings, judgements and orders made by the Board in specific cases;(iv) may extend to any subject matter relevant to the Organisation; and(v) are subject to the veto of the members.Membership6. The members of the Organisation are micronations, e-nations, role-playing game organisations and similar bodies which are -(i) original signatories to this Contract; or(ii) admitted to membership by the Board in accordance with procedures below.Obtaining Membership7. An organisation or group, but not an individual person, may obtain membership at the discretion of the Board if that organisation or group -(i) is alike in character, purpose and practice to the other members of the Organisation;(ii) is capable of participating in the same geophysical simulation as the other members of the Organisation;(iii) is willing to abide by the Rules and Protocols of the Organisation; and(iv) upon admission to membership, signs its agreement to this Contract.Rights of Membership8. A member possess the rights, powers and duties described elsewhere in this Contract, and in the Rules and Protocols, including but not limited to -(i) one seat and one vote at the General Assembly;(ii) the right to promote itself as a member of this Organisation and use the name of this Organisation in connection with its own activities;(iii) the right to resign its membership; and(iv) the duty to conduct its micronational affairs, in any fantasy or role-playing or simulationist context, in a manner consistent with the manner of all other members.General Assembly9. The General Assembly is a forum for all members of the Organisation and has the power, upon a two-thirds vote in favour, to -(i) veto any part of the Rules and Protocols;(ii) declare no confidence in a Director; and(iii) expel a member if the Board recommends such action on the grounds that that member is not qualified in terms of Article 7 of this Contract.Contract10. This Contract of Organisation is a common law contract, enforceable in any competent court in any appropriate jurisdiction, between the signatories. Agreement to this Contract of Organisation, by way of the signature of a duly authorised representative of a party, indicates the agreement of that party to the contract and binds –(i) that party;(ii) that representative;(iii) all persons having standing in the internal organisation of that party;(iv) the successors of those persons and of that party.
